At Leatherwood, our attorneys have extensive experience in counseling clients in the complexities of acquiring, selling, and restructuring corporations, partnerships, and limited liability companies.

Our attorneys focus on understanding and accomplishing the goals of our clients in undertaking these transactions and draw upon the broad range of resources available within the firm in the areas of tax, real estate, employment, environmental, antitrust, intellectual property, international, franchising, and litigation to accomplish those goals in an efficient, and cost-effective manner.  These transactions have involved representing sellers and acquirers of entities in both private and public company transactions and have involved leveraged acquisitions with various debt and equity funding sources, acquisitions and dispositions of distressed companies, sales of companies with operations in multiple foreign jurisdictions, sales to employee stock ownership plans, and acquisitions by and sales to various private equity groups and public companies.  The breadth and depth of our experience enables us to offer knowledgeable insights and creative solutions in overcoming obstacles which may arise in the deal process.

We work closely with our clients and their in-house counsel, investment bankers, accountants, and other advisors in all aspects of the deal from structuring the transaction in the most tax-efficient manner, to due-diligence, regulatory filings, and documenting and negotiating the terms of the deal.
