William L. Pitman
Shareholder
Mr. Pitman practices in the firm’s Corporate and Securities group with an emphasis on securities matters, banking, corporate finance and mergers and acquisitions. He represents public and private corporations, banks and other financial institutions. He has extensive experience in corporate finance and securities law matters, including public and private offerings of debt and equity securities, initial public offerings, secondary offerings, tender offers, private placements and venture capital financing. He provides advice to clients on sophisticated business transactions, including mergers and acquisitions, corporate restructurings, dispositions of subsidiaries and other assets, corporate formations and related matters. He also provides securities law advice on filings under the Securities Exchange Act of 1934, insider trading, corporate governance, employee benefit plans, issuer repurchase programs, stock exchange listing requirements and fiduciary duties.
Mr. Pitman has assisted clients in numerous complex corporate transactions. Recent transactions include: recapitalization merger and public offering for emerging technology company, the recapitalization of a publicly held international telecommunications company, including common stock offerings totaling $422 million, convertible debt offerings totaling $480 million and a tender offer for $180 million of senior secured debentures; public offerings of equity and convertible debt, the private placement of $150 million of medium term notes and a $200 million syndicated credit facility for a significant NYSE company; an internet IPO; settlement of a shareholder’s derivative suit for, and auction sale of, a publicly held manufacturer; purchase of denationalized manufacturing operations in Eastern Europe; and sale of an investment advisory firm to a major U.S. bank and related mutual fund acquisition.
Prior to joining Leatherwood in 2004, Mr. Pitman was a shareholder in Williams Mullen, Richmond, Virginia, with whom he practiced for fourteen years. Before entering the practice of law in 1990, Mr. Pitman served as Vice President in the U.S. banking group of Sovran Bank, now Bank of America, where he managed some of the bank’s most prominent Fortune 500 clients. Prior to joining Sovran, Mr. Pitman was an Assistant Vice President, Utility Specialist, at Bank of Virginia, now Wachovia Bank. He previously served for four years with First Union National Bank in Charlotte, North Carolina. After graduating from Davidson College in 1978, he completed the bank’s management training program and served as a financial analyst and in the bank’s assets-based lending unit structuring tax-oriented lease transactions.

Accolades- Mr. Pitman received an B.A. degree in History from Davidson College, where he was selected for Omicron Delta Epsilon, an Economics honor society, and studied at Oxford University in England. He was also a member of the Kappa Alpha Order.
- Mr. Pitman received his law degree, cum laude, from the Washington & Lee University School of Law in May 1990. As a law student, he served as clerk to the Honorable Jack B. Coulter, Circuit Court of the City of Roanoke.
